Party Bylaws

 

  1. Party Name: The name of the party is Lights of Dawn - a party for everyone.
  2. Party Goals: 
    2.1. Strengthening societal components in Israel and integration into life systems, thorough treatment of issues of violence and crime,
    2.2. Investing efforts in the impact of the Corona pandemic: health, economy, education, society, and culture.
    2.3. Promoting and strengthening civil equality (rights and obligations) in all sectors of Israeli society, and safeguarding the security of the state and its citizens.
    Strengthening the periphery in areas such as: economy, employment, education, health, infrastructure planning, local agriculture.
  3. Party members:
    3.1. A member of the party may be admitted if their membership has been approved by the party's management, after they have been convinced that they identify with the party's goals and in good faith wish to act to advance the party and its goals, and all of the following conditions are met:
    3.1.1. He is a citizen of the State of Israel,
    3.1.2. He is eligible to vote in the Knesset elections,
    3.1.3. He is not a member of any other party, or of any other candidate list for the Knesset,
    3.1.4. He identifies with the party's goals and has undertaken in writing to accept the provisions of these bylaws, and to act in promoting the party's goals and its policies as defined in these bylaws and in the platform of the "Lights of Dawn" party, and as will be determined by the party's management and its institutions.
    He paid his membership dues on time, as determined by the party management from time to time.,
    He has not been convicted by a judgment for a misdemeanor involving moral turpitude.
    A candidate wishing to join the party shall sign a personal membership application in a format to be determined by the party's management.
    3.3. The Party leadership shall have the authority to prevent a person from being a member of the Party if they are convinced, in their sole discretion, that the person does not identify with the Party's objectives, is seeking to join the Party in bad faith, or that their admission to the Party could harm the Party for any other reason.
  4. Membership in the party will expire:
    • • The friend's stage,
    • Upon his resignation from the party in writing,
    • Upon his expulsion from the party in accordance with the party leadership's decision, if convinced as stated in the section 3.4,
    • One or more of the conditions listed in the sections have ceased to exist 3.1.1 Until 3.1.6 Above

  5. A party member's obligations:
    5.1. A party member must: 
    5.1.1. To be loyal to the State of Israel.,
    5.1.2. To adhere to the provisions of these regulations and the decisions of the party and its institutions,
    5.1.3. To pay membership dues upon joining and/or periodically as determined from time to time by the Party management.,
    5.1.4. To act with respect and ethics towards party members and its institutions.

  6. Party member rights: 
    6.1. A party member shall be entitled to vote and be elected to party institutions in accordance with the provisions of this constitution.
    6.2. A party member shall be eligible to be elected on behalf of the party as a representative to elected bodies, including the Knesset and local authorities, in accordance with the provisions of this constitution.

  7. Party Institutions
    7.1. The Party's institutions are:
    7.1.1. Party Council,
    7.1.2. Party Management,
    7.1.3. Audit Committee,
    7.1.4. Court,
    7.1.5. District Offices.

  8. Party Council
    8.1. The Party Council shall be authorized:
    8.1.1. To make decisions on principled issues, which will guide party officeholders and elected officials,
    8.1.2. To amend the regulations as stated in section 13,
    To decide to act on a matter in a way not provided for in the regulations, by the majority stipulated in section 13,
    8.1.4. To elect the party chairman,
    8.1.5. To select the party's representatives to nationwide elected bodies, including to the Knesset,
    To decide on the manner of managing the Council's affairs in any matter for which no express provision is made in these bylaws,
    8.1.7. Discuss the Audit Committee's reports. No change.
    8.2. In addition to the elected council members, all party representatives serving in the Knesset or in local authorities on behalf of the party shall be members of the council for the duration of their aforementioned term.
    8.3. How the First Council is Chosen, Based on the status of "Founding member" that will be granted to the party's initial group of founders, And their list will be approved by management. So, The party's activities will be budgeted through, among other things: 'Budgetary units' (4,800 ₪ per unit), And each founding member is expected to contribute or secure a contribution of a minimum number of budget units..
    8.4. The first Party Council will be elected by party members for a period of 12 months, with subsequent councils serving 36 months.
    8.5. The following are authorized to bring an item for discussion before the Council:
    8.5.1. Party Chairman,
    8.5.2. Party management,
    8.5.3. 10% Council Members. 
    8.6. The Council shall convene at times determined in advance by the Party Secretary-General, at least once every three months. The Party Chairman and the Party Directorate may request an urgent Council meeting to be convened within 7 days of the request. 
    8.7. The Council's meetings shall be convened no later than 30 days before the meeting date.
    8.8. At the proposal of the Party Chairman and with the approval of 2/3 of those present, the Council may discuss an urgent matter not included in the meeting's agenda. No change.
    8.9. The quorum required to open a meeting is 1/3 of the number of members, and after fifteen minutes, 1/4 of the number of members. Once the discussion has begun, it will continue with any number of members, provided that at least 1/10 of the council members are participating in the meeting. No change.
    8.10. Council decisions shall be made by a majority vote of those present, unless otherwise stipulated in these regulations.

  9. Party Management:
    9.1. The Party Directorate shall manage the administrative and financial affairs of the Party and shall have residual authority to decide on any matter not assigned to the authority of another body by virtue of this constitution or any provision of law. No alteration.
    The party management shall be elected by the party council, from among its members, within two months of the council's election.
    9.3. The Executive Committee shall consist of 13 members, including the Party Chairman who shall serve as Chairman of the Executive Committee, a Secretary-General, and heads of departments. Should a vacancy arise on the Executive Committee, the Council shall elect a replacement within two months. No changes.
    9.4. The party's management will serve for the entire term of the council that elected it and until a new management is elected by the following council. No change.
    9.5. The Management Board shall be convened by the Secretary-General at least once a month.
    The Management may authorize members of the Management and establish subcommittees for specific matters or roles determined by it. 
    9.7. The management shall appoint a finance committee of three members, including a treasurer, who shall head it and manage the financial affairs of the party. 
    9.8. The management shall appoint a Secretary-General from among its members, who will manage the party's day-to-day affairs and be responsible for the party's employees. 

  10. Audit Committee 
    • • The Audit Committee will discuss and oversee financial matters., Assets and accounting books.
    • The Audit Committee shall supervise the integrity and proper administration of the party's members and institutions..
    • The Audit Committee shall be allocated a budget for assistance from external professionals..
    • The audit committee will appoint three members.

    • A representative of the audit committee will be invited to attend meetings of the party institutions..
    • The audit committee will have access to the minutes of the management and the court meetings..

      The Party Court
    • 11.1. The Court is the supreme judicial institution of the Party and is not subject to any of the Party's institutions. The Court's role is to rectify wrongs quickly and to create deterrence against deviations from the rules of proper conduct within the Party.
      11.2. The court is authorized to hear disputes between party members, between members and party institutions, and between different institutions. Its ruling will be based on a hearing of the parties and examination of evidence.
      11.5. The right to appeal lies with the debtor to be heard in a council meeting, and they will be able to overturn or change the verdict.
      11.6. The court and the presiding judge shall be appointed by the members of the executive committee and approved by the council.
      11.7. The tribunal shall consist of a presiding judge and two other members.
      11.8. The presiding judge of the tribunal shall be a lawyer with at least 15 years of experience. The other two members of the tribunal shall be lawyers. If a member of the tribunal is unable to fulfill his duties, a replacement shall be appointed from among the council members upon the recommendation of the chairman and with the approval of the management.
      11.9. The court members shall not hold any position within the party, except for council members.
      11.10. Its modes of operation: same content, different numbering
      11.10.1. Disputes between party members, or between members and institutions, shall be heard by a single member of the Court of Honor as sole judge, or by all members of the Court of Honor in a panel of three, as decided by the President of the Court of Honor.
      11.10.2. Disputes between party institutions shall be adjudicated by all members of the court.
      11.10.3. If the court convenes with three judges, its decisions shall be adopted by a majority vote.
  11. 12.1. The role of the bureaus is to promote the party's goals and serve as a communication channel for difficulties or opportunities in the field.
    12.2. The Council shall appoint 12 heads of departments upon the recommendation of the management.
    12.3. Each bureau will be responsible for a latitudinal strip, from the south of the country to the north.
    12.4. The bureaus shall receive budgeting adapted to the activity expected of them by the Party Council.
  12. Party Chairman 
    13.1. The party chairman shall be elected by the Council within two months of its election and shall serve until a new chairman is elected in his place.
    The party chairman shall be the chairman of the council and the chairman of the party management.
    13.3. Elections for the Knesset have been announced, and the party has decided to run in the elections and to select a list of candidates for this purpose. The party chairman shall be elected at the time of selecting the candidates for the Knesset and shall be the first candidate on the list.

  13. 14.1. The faction in the Knesset shall be comprised of Knesset members from the party, as well as government ministers who are not Knesset members.
    14.2. The party chairman shall head the faction in the Knesset; he shall be authorized to appoint a substitute from among the faction members in the Knesset to conduct faction meetings.
    14.3. The party chairman may bring various articles for discussion and determination of position in the faction council.

  14. Bylaw Stability: 
    15.1. Amendments to the bylaws shall be made at a special council meeting scheduled at least 30 days in advance by means of a notice that includes the proposed amendment text and the reasons for the proposed amendment.
    15.2. The quorum required to amend the bylaws shall be one of the following:
    15.2.1. A majority of the council members,
    15.2.2. A two-thirds majority of the participants voting at the conference, provided that the number of participants at the conference is not less than 25% of the total number of conference members.
  15. Adequate representation
    16.1. Party Institutions.
  16. General Instructions: 
    17.1. Should there be a contradiction between the provisions of these regulations and the provisions of the law or the State Comptroller's regulations, these provisions shall prevail over the provisions of the regulations.
    17.2. The Party's institutions shall keep minutes of their meetings and decisions. These shall be kept in digital format and shall be open for inspection by Party members in coordination with the Party's CEO.
    17.3. Votes in party institutions shall be decided by a majority of votes, unless otherwise stipulated in the bylaws.
    17.4. If a party official is unable to fulfill their role, the party chairman may temporarily appoint a replacement until a permanent appointment is made in accordance with the bylaws for the election of officeholders.
  17. Temporary Management - Emergency Order:
    18.1. Notwithstanding the provisions of these bylaws, from the date of the party's registration until the election of the party's management by the first council, all party affairs shall be managed by a temporary management, which shall be automatically canceled upon the election of the party's management as aforesaid.

    18.3. Members of the interim management committee shall be authorized to decide to add additional members to the interim management committee, and to elect others in place of any member of the interim management committee who is unable to continue to fulfill his role.
    The temporary management shall have all the powers of the council and the permanent management established in this constitution, including the power to determine the list of the party's candidates for the Knesset and to amend the provisions of this constitution.
    18.5. The Management's decisions will be made by a special majority of the Management members. However, the Party Chairman and the Secretary-General together have the right of "veto" to cancel any decision by the Provisional Management within 48 hours of its adoption.
    18.6. The interim management shall arrange the conduct of its meetings and shall be entitled to make decisions through electronic communication.
